WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. These Legal Terms shall be governed by and defined following the laws of Thailand and yourself irrevocably consent that the courts shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least 30 days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.
Any dispute arising out of or in connection with these Legal Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the International Commercial Arbitration Court under the European Arbitration Chamber (Belgium, Brussels, Avenue Louise, 146) according to the Rules of this ICAC, which, as a result of referring to it, is considered as the part of this clause. The number of arbitrators shall be 3. The language of the proceedings shall be Thai. The governing law of these Legal Terms shall be substantive law of Thailand.
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILLAT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US OR . หากคุณให้ข้อมูลใดๆ ที่ไม่เป็นความจริง ไม่ถูกต้อง ไม่เป็นปัจจุบัน หรือไม่สมบูรณ์ เรามีสิทธิ์ที่จะระงับหรือยกเลิกบัญชีของคุณและปฏิเสธการใช้บริการในปัจจุบันหรืออนาคตทั้งหมด (หรือส่วนใดส่วนหนึ่งของบริการ)

การขายทั้งหมดเป็นขั้นตอนสุดท้าย และจะไม่มีการคืนเงินหลังจากการแสดงผลของการให้บริการและ/หรือการซื้อผลิตภัณฑ์ดิจิทัลจากบริษัท โพธิ์เย็น ดิจิทัล (ประเทศไทย) จำกัด

ข้อกำหนดทางกฎหมายนี้จะอยู่ภายใต้และตีความตามกฎหมายของประเทศไทย และคุณตกลงโดยไม่สามารถเปลี่ยนแปลงได้ว่าศาลจะมีอำนาจพิจารณาคดีเฉพาะในการแก้ไขข้อพิพาทใดๆที่อาจเกิดขึ้นจากข้อกำหนดทางกฎหมายนี้
เพื่อเร่งรัดการแก้ไขและควบคุมค่าใช้จ่ายของข้อพิพาทใดๆ ความขัดแย้งหรือข้อเรียกร้องที่เกี่ยวข้องกับข้อกำหนดทางกฎหมายเหล่านี้ (แต่ละข้อเรียกว่า "ข้อพิพาท" และเรียกรวมว่า "ข้อพิพาทใดๆ") ที่นำมาโดยคุณหรือเรา (แต่ละฝ่ายเรียกว่า "ฝ่าย" และเรียกรวมว่า "คู่กรณี") คู่กรณีตกลงที่จะพยายามเจรจาข้อพิพาทใดๆ (ยกเว้นข้อพิพาทที่ระบุไว้อย่างชัดเจนด้านล่าง) อย่างไม่เป็นทางการอย่างน้อย 30 วันก่อนที่จะเริ่มกระบวนการอนุญาโตตุลาการ การเจรจาแบบไม่เป็นทางการดังกล่าวจะเริ่มต้นขึ้นเมื่อมีการแจ้งเป็นลายลักษณ์อักษรจากฝ่ายหนึ่งไปยังอีกฝ่ายหนึ่ง
ข้อพิพาทใดๆ ที่เกิดขึ้นจากหรือเกี่ยวข้องกับข้อกำหนดทางกฎหมายเหล่านี้ รวมถึงคำถามใดๆ เกี่ยวกับการมีอยู่ ความถูกต้อง หรือการยุติ จะถูกส่งไปยังและแก้ไขโดยศาลอนุญาโตตุลาการพาณิชย์ระหว่างประเทศภายใต้หอการค้าพาณิชย์ยุโรป (เบลเยียม บรัสเซลส์ อเวนิว หลุยส์ 146) ตามกฎของ ICAC นี้ ซึ่งเป็นผลจากการอ้างอิงว่ากฎนั้นถือว่าเป็นส่วนหนึ่งของข้อกำหนดนี้ จำนวนผู้อนุญาโตตุลาการจะเป็น 3 ภาษาของกระบวนการจะเป็น ภาษาไทย กฎหมายที่ใช้บังคับในการแก้ไขข้อพิพาทนี้จะเป็นกฎหมายสาระสำคัญของประเทศไทย
คู่กรณีตกลงว่าการอนุญาโตตุลาการใดๆ จะจำกัดเฉพาะข้อพิพาทระหว่างคู่กรณีเท่านั้น ภายใต้ขอบเขตสูงสุดที่กฎหมายอนุญาต (1) การอนุญาโตตุลาการจะไม่ถูกนำไปรวมกับกระบวนการอื่นใด (2) ไม่มีสิทธิ์หรืออำนาจในการอนุญาโตตุลาการข้อพิพาทในลักษณะของการฟ้องร้องแบบกลุ่มหรือใช้วิธีการฟ้องร้องแบบกลุ่ม และ (3) ไม่มีสิทธิ์หรืออำนาจในการนำข้อพิพาทมาในนามของตัวแทนของสาธารณชนหรือบุคคลอื่นใด
คู่กรณีตกลงว่าข้อพิพาทดังต่อไปนี้จะไม่ได้อยู่ภายใต้บทบัญญัติข้างต้นเกี่ยวกับการเจรจาแบบไม่เป็นทางการและอนุญาโตตุลาการผูกพัน: (1) ข้อพิพาทใดๆ ที่มุ่งหมายที่จะบังคับใช้หรือปกป้อง หรือเกี่ยวข้องกับความถูกต้องของสิทธิ์ในทรัพย์สินทางปัญญาของฝ่ายหนึ่ง (2) ข้อพิพาทใดๆ ที่เกี่ยวข้องกับหรือเกิดจากข้อกล่าวหาว่ามีการขโมย ละเมิดความเป็นส่วนตัว หรือการใช้งานที่ไม่ได้รับอนุญาต (3) ข้อเรียกร้องใดๆ ที่เกี่ยวข้องกับคำสั่งห้าม หากพบว่าบทบัญญัตินี้ผิดกฎหมายหรือไม่สามารถบังคับใช้ได้ ฝ่ายใดจะไม่เลือกที่จะอนุญาโตตุลาการข้อพิพาทใดๆ ที่อยู่ในส่วนที่ถือว่าผิดกฎหมายหรือไม่สามารถบังคับใช้ได้ และข้อพิพาทดังกล่าวจะถูกตัดสินโดยศาลที่มีอำนาจตามที่ระบุไว้ในเขตอำนาจศาลด้านบน และคู่กรณีตกลงที่จะยอมรับเขตอำนาจศาลส่วนบุคคลของศาลนั้น
อาจมีข้อมูลบางอย่างในบริการที่มีข้อผิดพลาดทางไวยากรณ์ ความไม่ถูกต้อง หรือการละเว้น รวมถึงคำอธิบาย ราคา ความพร้อมใช้งาน และข้อมูลอื่นๆ เราขอสงวนสิทธิ์ในการแก้ไขข้อผิดพลาด ความไม่ถูกต้อง หรือการละเว้นเหล่านั้น และเปลี่ยนแปลงหรืออัปเดตข้อมูลในบริการได้ตลอดเวลาโดยไม่ต้องแจ้งให้ทราบล่วงหน้า
บริการจะถูกจัดให้ในลักษณะเป็นอย่างที่เป็นอยู่และตามความพร้อมใช้งาน คุณตกลงว่าการใช้บริการของคุณจะเป็นไปตามความเสี่ยงของคุณแต่เพียงผู้เดียว ตามที่กฎหมายอนุญาตอย่างเต็มที่ เราขอปฏิเสธการรับประกันทั้งหมด ไม่ว่าจะเป็นการรับประกันแบบชัดแจ้งหรือโดยนัยที่เกี่ยวข้องกับบริการและการใช้งานของคุณ รวมถึงแต่ไม่จำกัดเฉพาะการรับประกันโดยนัยของความเหมาะสมในการขาย ความเหมาะสมสำหรับวัตถุประสงค์เฉพาะ และการไม่ละเมิด เราไม่รับประกันหรือให้การแสดงความจริงเกี่ยวกับความถูกต้องหรือความสมบูรณ์ของเนื้อหาของบริการหรือเนื้อหาของเว็บไซต์หรือแอปพลิเคชันมือถือที่ลิงก์ไปยังบริการ และเราไม่รับผิดชอบต่อ (1) ข้อผิดพลาด ความผิดพลาด หรือความไม่ถูกต้องของเนื้อหาและวัสดุ (2) ความเสียหายส่วนบุคคลหรือความเสียหายต่อทรัพย์สินไม่ว่าจะด้วยธรรมชาติใดก็ตามที่เกิดขึ้นจากการเข้าถึงและการใช้บริการของคุณ (3) การเข้าถึงหรือการใช้เซิร์ฟเวอร์ที่ปลอดภัยของเราและ/หรือข้อมูลส่วนบุคคลและ/หรือข้อมูลการเงินที่เก็บอยู่ในนั้น โดยไม่ได้รับอนุญาต (4) การหยุดชะงักหรือการหยุดส่งสัญญาณไปยังหรือจากบริการ (5) บั๊ก ไวรัส ม้าโทรจัน หรือสิ่งที่คล้ายกันที่อาจถูกส่งไปยังหรือผ่านบริการโดยบุคคลที่สาม (6) ข้อผิดพลาดหรือการละเว้นในเนื้อหาและวัสดุใดๆ หรือความสูญเสียหรือความเสียหายใดๆ ที่เกิดขึ้นจากการใช้เนื้อหาใดๆ ที่โพสต์ ส่งผ่าน หรือทำให้มีอยู่โดยวิธีใดก็ตามผ่านบริการ เราไม่รับประกัน รับรอง หรือรับผิดชอบต่อผลิตภัณฑ์หรือบริการใดๆ ที่โฆษณาหรือเสนอโดยบุคคลที่สามผ่านบริการ เว็บไซต์ที่ลิงก์ใดๆ หรือเว็บไซต์หรือแอปพลิเคชันมือถือที่แสดงในแบนเนอร์หรือโฆษณาอื่นๆ และเราจะไม่เป็นคู่สัญญาหรือมีความรับผิดชอบในทางใดๆ สำหรับการตรวจสอบธุรกรรมใดๆ ระหว่างคุณและผู้ให้บริการผลิตภัณฑ์หรือบริการของบุคคลที่สามใดๆ เช่นเดียวกับการซื้อผลิตภัณฑ์หรือบริการผ่านสื่อใดๆ หรือในสภาพแวดล้อมใดๆ คุณควรใช้วิจารณญาณที่ดีที่สุดของคุณและใช้ความระมัดระวังตามที่เหมาะสม
